This website is operated by DJordanMedia LLC. Throughout the site, the terms "we", "us", and "our" refer to DJordanMedia. By accessing this site or purchasing from it, you agree to be bound by the terms, conditions, policies, and notices stated here. This includes any additional terms referenced or linked within this agreement.

Important Notice: By using any product, footage, or licensed material provided by DJordanMedia, you agree to provide full credit to DJordanMedia. Failure to do so may result in legal action.

SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you confirm that you are the age of majority in your jurisdiction, or have obtained consent from a legal guardian for any minor dependents using this site. You may not use our products for any unlawful or unauthorized purposes. Violations may result in immediate termination of services.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse service to anyone, at any time, for any reason. You agree not to duplicate, sell, or exploit any part of the Service without written permission.

SECTION 3 - ACCURACY OF INFORMATION

We do not guarantee that information on this site is complete, accurate, or current. Reliance on the material is at your own risk.

SECTION 4 - MODIFICATIONS TO SERVICE AND PRICING

Prices are subject to change without notice. We reserve the right to modify or discontinue the Service or any part of it without notice.

SECTION 5 - PRODUCTS AND SERVICES

Certain products or services may be available exclusively online and may have limited quantities. All discounted purchases are final and non-refundable. Refer to our Refund Policy for full details.

SECTION 6 - ACCOUNT AND BILLING ACCURACY

We reserve the right to refuse or cancel any order. You agree to provide accurate billing and account information and keep it updated for all purchases.

SECTION 7 - THIRD-PARTY TOOLS AND LINKS

We may offer third-party tools or links for your convenience. We do not monitor or control these tools and are not responsible for any resulting issues.

SECTION 8 - USER FEEDBACK AND SUBMISSIONS

By submitting ideas, suggestions, or other materials, you grant us unrestricted rights to use, edit, or publish them. You may not post unlawful or offensive content.

SECTION 9 - PERSONAL INFORMATION

SECTION 14 - SEVERABILITY

If any provision is found to be unenforceable, the remainder of these Terms shall remain in full force and effect.

SECTION 15 - TERMINATION

These Terms remain in effect until terminated. We may suspend or terminate access to the Service at any time without notice for violations.

SECTION 16 - ENTIRE AGREEMENT

These Terms constitute the full agreement between you and DJordanMedia LLC and supersede prior agreements or communications.

SECTION 17 - GOVERNING LAW

These Terms are governed by the laws of the United States.

SECTION 18 - DIGITAL PRODUCT AND THEME LICENSE TERMS

By purchasing any digital product from DJordanMedia LLC, including but not limited to Shopify themes (such as the Obsidian Theme), templates, plugins, or other downloadable software, you agree to the following terms.

18.1 License Grant

Each purchase grants you a non-exclusive, non-transferable license to use the product on ONE (1) Shopify store. This license does not constitute a transfer of ownership. All intellectual property rights remain with DJordanMedia LLC.

18.2 What Is Included

Your license includes the theme source files, 12 months of updates from the date of purchase, and email support for installation and configuration issues. Updates are delivered through the Shopify theme editor or through a method specified by DJordanMedia at the time of release.

18.3 Restrictions

You may NOT do any of the following:

  • Install or use the theme on more than one Shopify store without purchasing additional licenses
  • Redistribute, resell, sublicense, lease, or share theme files with any third party
  • Upload theme files to any public or private repository, marketplace, or file-sharing platform
  • Reverse engineer, decompile, or disassemble any part of the theme code
  • Remove, disable, bypass, or circumvent any license validation, integrity checks, DRM protections, or attribution notices embedded in the theme
  • Modify the theme in any way that disables or interferes with the license verification system
  • Use automated tools, AI assistants, or scripts to bypass, stub, or mock the license validation system
  • Copy, reproduce, or recreate any portion of the theme code for use outside of a validly licensed Shopify store

18.4 Domain Locking

The theme is locked to the Shopify store domain where it is first activated. If you add a custom domain to replace your default .myshopify.com address, the system will detect this automatically and update your registered domain. Transferring a license to a completely different Shopify store requires written approval from DJordanMedia. Contact support@djordanmedia.com to request a domain transfer.

18.5 License Revocation

DJordanMedia LLC reserves the right to revoke any theme license immediately and without refund for any of the following reasons:

  • Filing a chargeback or payment dispute with your bank, credit card company, or payment provider (see Section 18.6)
  • Redistributing, sharing, or reselling theme files in any form
  • Attempting to remove, bypass, disable, or circumvent license validation or DRM protections
  • Installing the theme on unauthorized domains or multiple stores without additional licenses
  • Using AI tools or automated methods to strip, reproduce, or circumvent protected code
  • Violating any provision of these Terms of Service

Upon revocation, the theme will display a public notice indicating that the website is using an unregistered theme. All premium features, visual effects, and functionality controlled by the license system will be disabled. Revoked licenses cannot be reinstated. A new license must be purchased to restore full functionality.

18.6 Chargeback Policy

Filing a chargeback or payment dispute with your bank or payment provider constitutes an immediate and irrevocable revocation of your theme license. This is non-negotiable. DJordanMedia will contest all chargebacks with full documentation of product delivery, license activation, download records, and domain usage logs.

If the chargeback is reversed in our favor, a new license must still be purchased at full price. The original license will not be reinstated.

If you have a legitimate billing concern or are unsatisfied with your purchase, contact us at support@djordanmedia.com BEFORE contacting your bank. We are committed to resolving issues directly and fairly.

18.7 Refund Policy for Digital Products

Theme purchases are eligible for a refund within 14 days of purchase, provided the theme files have not been downloaded and the license key has not been activated on a Shopify store. All downloads are tracked and logged. Once the theme has been downloaded or the license has been activated, the sale is final and no refund will be issued. Refund requests must be submitted to support@djordanmedia.com.

18.8 Intellectual Property and DMCA Protections

All themes, code, designs, and creative assets are the intellectual property of DJordanMedia LLC, protected under U.S. copyright law (17 U.S.C. Section 106). The license validation and integrity systems embedded in our themes are technological protection measures under the DMCA (17 U.S.C. Section 1201). Circumventing these protections is a federal offense carrying civil damages up to $2,500 per violation and criminal penalties up to $500,000 and 5 years imprisonment for first-time offenders. DJordanMedia actively monitors for unauthorized use and will pursue all available legal remedies, including statutory damages and injunctive relief.

18.9 Termination of License

DJordanMedia may terminate your license at its sole discretion for any violation of these terms. Upon termination, you must immediately cease all use of the theme and remove it from your Shopify store. Continued use after termination constitutes copyright infringement.

SECTION 19 - SMS/MMS MARKETING TERMS

By opting into our mobile messaging program, you consent to receive automated messages about offers and updates.

Message frequency may vary. Standard messaging rates apply.

To opt out, reply "STOP". For help, reply "HELP".

You agree to notify us if you change your mobile number.

Unauthorized use of another person's number is prohibited and may result in legal consequences.

SECTION 20 - SUBSCRIPTION TERMS

By subscribing to any DJordanMedia subscription service (including but not limited to The Editing Experience, Monthly Pass, or any other recurring payment plan), you agree to the following terms:

  • Access: Your subscription provides access to the subscribed service for the duration of your active subscription period.
  • Billing: Subscriptions are billed automatically on a recurring basis (monthly or annually, depending on your plan) until cancelled.
  • Cancellation: You may cancel your subscription at any time from your account dashboard. Access will remain active until the end of your current billing period. No refunds will be issued for partial billing periods.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • Price Changes: We reserve the right to modify subscription pricing with 30 days advance notice to active subscribers.
  • Account Sharing: Subscriptions are for individual use only. Sharing account credentials or access with others is prohibited and may result in immediate termination.
  • Misuse: Unauthorized distribution of subscription content, API manipulation, or credential leaking will result in immediate termination and possible legal action.
  • Content Updates: Subscription content, features, and benefits may be updated, modified, or discontinued at our discretion.
  • Free Trials: Free trial periods (if offered) are limited to one per user. Credit card information may be required. You will be charged automatically when the trial ends unless you cancel before the trial period expires.

SECTION 21 - INTERNATIONAL COPYRIGHT AND DISTRIBUTION

By using DJordanMedia content, you agree to comply with copyright laws globally. Unauthorized sharing or resale will result in legal action, including in the following jurisdictions:

Canada: Copyright Act

European Union: EU Directives and national laws

Germany: Urheberrechtsgesetz (UrhG)

United Kingdom: Copyright, Designs and Patents Act 1988

Australia: Copyright Act 1968

We will pursue legal remedies, including damages and injunctive relief, for any violations.

SECTION 22 - UNAUTHORIZED AFFILIATE USE

Affiliates may not run paid ads or promotions without written consent. Violations may result in:

  • Termination of your affiliate account
  • Loss of earned commissions
  • Legal action for misrepresentation or fraud
